1. Application of these Terms and Conditions

1.1 These terms and conditions govern the provision of product(s) by Cosyelegance GmbH, located at 8, The Green, Dover, State of Delaware, 19901, United States of America.

1.2 These terms and conditions apply to all orders placed by you, acting as a consumer, through our Internet shop (www.cosyelegance.co.uk). For the purpose of these terms and conditions, a ‘consumer’ refers to a person who is purchasing for reasons that are wholly or mainly unrelated to their trade, business, craft, or profession (as defined in Section 2(3) of the Consumer Rights Act 2015). If you place an order through our internet shop but are not acting as a consumer, certain aspects of these terms and conditions may vary, and any such variations will be indicated within these terms and conditions.

1.3 Before submitting an order to us, it is important that you carefully read and understand these terms and conditions. They outline how we will provide the product(s), the procedures for changing or terminating the contract, the steps to follow if any issues arise with your order, and other essential information.

2. Formation of the Contract

2.1 Our offer of goods on the Internet serves as an invitation to treat (an advertisement), indicating that it is not a binding offer to sell. To make a purchase, you may submit your offer to buy through our order system integrated into our online shop.

2.2 When you purchase goods via the online shop, the items you wish to buy are added to a virtual “shopping cart.” You can view and access your virtual “shopping cart” at any time on every page of the website, and you can make changes to its contents. Once you have decided to purchase the product(s) in your shopping cart, you can provide your personal details, select the payment method, and choose the shipping conditions. Before completing the purchase, you have the opportunity to review, modify, or cancel the entire order. By clicking the “Buy now” button, you are making an offer to purchase the product(s) from us.

2.3 If you wish to make changes or cancel the order process, you can return to the Internet site by using the “back” button in your Internet browser or close the browser window.

2.4 We will accept your order and form a contract when we send you an email to confirm the acceptance of your order. The contract will be established between you and us at this point.

2.5 If we are unable to accept your offer, we will notify you accordingly and will not charge you for the product(s). There are several reasons why we may be unable to accept your order, such as the product(s) being out of stock, unexpected limitations in our resources that could not have been reasonably foreseen, errors in the price or description of the product(s), or an inability to meet your specified delivery deadline. If you intend to place a larger order as a company, please check availability in advance.

2.6 Despite our best efforts, there may be cases where the price of the product(s) we sell is incorrect. We typically verify prices before accepting your order. If the correct price of the product(s) on the date of your order is lower than our stated price, we will charge you the lower amount. If the correct price on your order date is higher than what was stated to you, we will contact you for further instructions before accepting your order. In cases where a pricing error is obvious and unmistakable and could have reasonably been recognized by you as a mispricing, we may terminate the contract, refund any payments you have made, and request the return of any goods already provided to you.

3. Prices and Shipping Costs

3.1 The prices displayed on the order page at the time of your purchase, including VAT if applicable, are the final prices. These prices include all relevant components, such as taxes. In the case of cross-border delivery, additional taxes and/or duties may be required by the buyer to be paid to the respective customs and tax authorities.

3.2 You are not responsible for the shipping costs.

4. Delivery

4.1 To place an order on our webshop and conclude the contract, it is necessary for you to provide your personal data. We require this information to process your order and fulfill the sales contract. Essential data required for the contract is clearly indicated, while additional data is voluntary. We use the personal data you provide to process your order and handle returns. For payment purposes, we may share your payment details with our bank or selected payment service provider. In order to facilitate the delivery of goods to you, we need to share your delivery address and contact details (email and phone number) with delivery companies. Only necessary data will be shared for the purpose of coordinating delivery, preventing fraud, and addressing urgent matters. The legal basis for this processing is that it is necessary for the performance of the sales contract with you (Article 6 (1) (b) of the GDPR). Failure to provide the mandatory personal data may result in the inability to process your order. If you wish to return a product, we will also need to share your personal data (delivery address and contact details) with the designated non-governmental/charitable organization or delivery company for product collection. The legal basis for this is the necessity of processing for the performance of a contract to which you are a party (Article 6 (1) (b) of the GDPR) and our legitimate interest in managing product returns.

4.2 We will dispatch the product(s) within the specified timeframe indicated on our website on the day we accept your order.

4.3 We are not responsible for delays beyond our control. If the delivery of the product(s) is delayed due to an event outside our control, we will notify you as soon as possible. We will take necessary steps to minimize the impact of the delay. In such cases, we will not be liable for delays caused by the event. However, if there is a risk of significant delay, you may contact us to terminate the contract and receive a refund for any unpaid product(s).

4.4 If the product(s) are unavailable, any advance payment made will be promptly refunded.

4.5 Once we deliver the product(s) to the provided delivery address, you become responsible for them.

4.6 In the event that you are not available at the delivery address or there is no one to receive the delivery, we will leave a note with instructions on how to reschedule the delivery or collect the product(s) from a local depot.

4.7 If you fail to collect the product(s) as instructed or if, after unsuccessful delivery attempts, you do not rearrange delivery or collect the product(s) from a delivery depot, we will contact you for further instructions. Additional storage costs and delivery charges may apply. If, despite our reasonable efforts, we are unable to contact you to make alternative arrangements, we reserve the right to terminate the contract and seek compensation for any losses resulting from your refusal to accept the delivery. If you fail to accept the goods, we may also choose to sell them to a third party or hold you liable for any losses incurred.

4.8 The specific delivery time window will be communicated to you by the delivery company. Please note that any waiting time during working hours for the delivery will not be reimbursed.

4.9 As a consumer, it is important to promptly check the goods upon receipt for completeness, obvious defects, and any transport damage. Any complaints should be reported to the seller and the freight forwarder as soon as possible. Your warranty rights remain unaffected.

5. Delivery Area

Regrettably, we are unable to accept orders from or deliver to addresses outside the United Kingdom.

6. Our Product(s)

The product(s) may exhibit slight variations from their depicted pictures. The images provided on our website are purely for illustrative purposes.

7. Reservation of Title

7.1 Ownership of the purchased item remains with us until the invoice is fully paid by you.

7.2 In the event of any payment obligations being overdue, all outstanding amounts become immediately payable.

8. Your Rights to Terminate the Contract

8.1 The rights available to you for terminating the contract depend on factors such as the condition of the product(s), our performance in fulfilling the contract, and the timing of your decision to terminate the contract.

8.2 Under the Consumer Contracts Regulations 2013, you have the legal right to change your mind and cancel the contract within 14 days after the delivery of the product(s) without providing any reasons.

8.3 To exercise your right to cancel the contract as mentioned in clause 8.1, you must inform us (Cosyelegance GmbH) via a letter sent to 8, The Green, Dover, State of Delaware, 19901, United States of America, or by emailing us at contact@cosyelegance.com. You can utilize the sample cancellation form provided in clause 8.5, but it is not obligatory. Any clear notice expressing your intent to cancel will be accepted. The notification of your decision to exercise the right of cancellation must be sent to us before the 14-day cancellation period expires.

8.4 Effects of Cancellation

If you cancel this contract, we will reimburse you for all payments received from you, including the delivery costs (excluding any supplementary costs resulting from your choice of a delivery method other than the least expensive standard delivery option offered by us). We may deduct an amount from the reimbursement to cover any diminished value of the goods if the loss in value is a result of unnecessary handling by you. We will issue the reimbursement without undue delay and no later than:

(a) 14 days after the day we receive the returned goods from you, or

(b) 14 days after the day you provide evidence of having returned the goods, or

(c) if no goods were supplied, 14 days after the day we are informed about your decision to cancel this contract.

The reimbursement will be made using the same payment method you used for the initial transaction unless you have expressly agreed otherwise. You will not incur any fees as a result of the reimbursement.

9. Our Goodwill Guarantee

9.1 These terms reflect the goodwill guarantee provided by Cosyelegance GmbH of Frankfurt am Main to its customers in the UK, which exceeds your legal rights under the Consumer Contracts Regulations 2013 as outlined above. This goodwill guarantee does not affect your legal rights in relation to faulty or misrepresented product(s)s. The voluntary right to withdraw under the goodwill guarantee commences after the expiration of the statutory right to withdraw (14 days) and extends for an additional 186 days. This provides you with a total right of withdrawal for 200 days (14 statutory days + 186 voluntary days).

9.2 To exercise your right to cancel the contract under our goodwill guarantee, you must contact us at Cosyelegance GmbH, 8, The Green, Dover, State of Delaware, 19901, United States of America, or email us at contact@cosyelegance.com, providing a clear explanation (e.g., via mail or email) of your decision to cancel the contract under the goodwill guarantee. You may also use the sample revocation form in Clause 8.5. To benefit from the goodwill guarantee, it is necessary to send the notification of the decision to exercise the right of cancellation before the end of the 200-day goodwill guarantee period.

9.3 If you cancel this contract in accordance with the goodwill guarantee, we will arrange free pickup of the mattress from the same address where it was delivered. We will refund the payment using the same method as the original transaction, unless you have explicitly agreed otherwise. You will not be charged any fees for the reimbursement. We may withhold the reimbursement until we have received the goods or until you have provided evidence of having returned the goods, whichever occurs earlier.

9.4 We may reduce the refund amount (excluding delivery costs) to account for any decrease in the value of the product(s) if the reduction is due to your handling of the goods in a manner that would not be permitted in a retail store. If we refund you the price paid before inspecting the goods and subsequently discover that you have handled them in an unacceptable manner, you must pay us an appropriate amount. Please note that this only applies if you have carelessly damaged the product, and not if you have used it appropriately and for its intended purpose. Damages caused by external factors (e.g., damages during delivery) will not reduce the refund amount for you.

10. Returning Product(s) under this Contract

10.1 If you decide to terminate this contract in accordance with the goodwill guarantee, we will arrange for the mattress to be collected from the property where it is currently located. Please contact us via email at contact@cosyelegance.com to arrange the collection.

11. Contract Language and Storage of Contract Text

11.1 This contract is exclusively available in English. We store the contract text, including order data and general terms and conditions. However, please note that the storage is temporary and not accessible to you. If you wish to retain and store these terms and conditions, you must do so separately.

12. Choice of Law and Jurisdiction

12.1 These terms are governed by English law, and you have the option to bring legal proceedings regarding the product(s) in the English courts. If you reside in Scotland, you can initiate legal proceedings in either the Scottish or English courts. If you reside in Northern Ireland, you can bring legal proceedings in either the Northern Irish or English courts.

13. Limitation of Liability

13.1 Cosyelegance will not be held liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to loss of profit, goodwill, use, damage to property, data, or other intangible losses, even if Cosyelegance has been advised of the possibility of such damages.

13.2 We do not exclude or limit our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents, or subcontractors, as well as liability for fraud or fraudulent misrepresentation and breach of your legal rights in relation to the product(s).

13.3 We are not liable for losses incurred in a business context. We supply the product(s) for domestic and private use only. If you use the product(s) for any commercial, business, or resale purpose, we will not be liable for any loss of profit, loss of business, business interruption, or loss of business opportunity.

13.4 We will not be liable or responsible for any failure to perform or delay in performance of our obligations caused by events beyond our reasonable control, including but not limited to acts of God, accidents, non-happenings, omissions, or events categorized as Force Majeure Events. During such events, our performance of the services will be suspended, and we will have an extension of time to fulfill our obligations. We will make reasonable efforts to resolve the Force Majeure Event or find a solution to perform our obligations under the terms despite the event.

14. Payment

14.1 You agree to receive invoices and credit notes in electronic form only.

14.2 We accept various payment methods, including debit and credit cards (Mastercard and Visa), PayPal, and financing through DivideBuy. We reserve the right not to offer certain payment methods based on factors such as the delivery address, deviation from the delivery and billing address, value of the goods, or other objective criteria. We may suggest alternative payment methods for each order. Any costs associated with money transactions are your responsibility.

14.3 We may provide online payment service providers and credit institution solutions. Customers must review and acknowledge the terms of sales, credit contracts, rights of retraction (if applicable), and specific terms of these providers for service usage. Terminating the terms of sales between Cosyelegance and the customer may result in the termination of terms of sales or credit contracts between the customer and online payment service providers or credit institutions. Please carefully read the specific terms of sale and use of online payment service providers and credit institutions before utilizing their payment and credit services on their respective websites.

14.4 Cosyelegance collaborates with payment service providers, and payment data may be transmitted to them for processing:

(a) Pay with debit and credit card: You make immediate payment during the ordering process by entering your credit card details. The credit card data processing is handled by Checkout, a company registered in France.

(b) Pay with PayPal: You pay directly through your PayPal account. Upon submitting your order, you will be redirected to PayPal to authorize the payment. PayPal is a duly licensed bank in Luxembourg.

(c) Pay with DivideBuy: In partnership with DivideBuy, we offer a financing option. Upon submitting your order, you will be redirected to DivideBuy to authorize the payment. DivideBuy is the trading name of Rematch Credit Limited, a company registered and operating in the United Kingdom.

14.5 In line with our legitimate business interests and for fraud monitoring and prevention, we utilize a fraud monitoring and prevention service provided by Checkout SAS for all website sales.

15. Privacy Policy

15.1 We treat your personal details in accordance with applicable data protection regulations and our Privacy Policy, which provides comprehensive information on how we store and use your personal information.

III. Clauses 17 to 19 are Supplementary terms that apply if you are not a consumer.

16. Transfer of risk

16.1 When you are not a consumer, the risk of accidental loss and accidental deterioration of the purchased goods is transferred to you as soon as we have handed the goods to the freight forwarder, freight carrier, or another person or institution responsible for the shipment.

17. Extended retention of title

17.1 When you are not a consumer, we retain ownership of the goods until all claims arising from the current business relationship are fully settled. The corresponding security rights can be transferred to third parties. Before the transfer of ownership of the reserved goods, the buyer is not allowed to pledge or use them as security.

17.2 If you are not acting as a consumer, you have the right to resell the goods in the ordinary course of business. In this case, the purchaser must assign all claims arising from the resale to the seller for the amount of the invoice. The seller accepts the assignment. The purchaser is also authorized to collect the debt. If the buyer fails to fulfill payment obligations, the seller reserves the right to collect the claim itself.

(1) If the reserved goods are connected or mixed with other processed items, the seller acquires co-ownership of the new item based on the invoice value of the reserved goods in relation to the other processed items at the time of processing.

(2) Upon the buyer’s request, the seller agrees to release collateral if the value of the collateral exceeds the secured claim by more than 10%. The choice of securities to be released is at the discretion of the seller.

Other Important Terms

18.1 If a court finds any part of this contract illegal, the remaining terms will continue to be in force. Each paragraph of these terms operates independently. If any court or relevant authority determines that any paragraph is unlawful, the remaining paragraphs will remain fully valid.

18.2 No other person, besides you and us, has any rights under this contract. Only you and we can enforce its terms.

18.3 If we do not immediately insist that you fulfill any obligations under these terms or if we delay in taking steps against you for breaching this contract, it does not mean that you are exempt from fulfilling those obligations, nor does it prevent us from taking action against you at a later date.

19. 10-Year Guarantee

This guarantee applies to Cosyelegance mattresses purchased on www.cosyelegance.co.uk or through our licensed partners, with delivery to a UK address. To be eligible for a refund or exchange, the mattress must be treated with proper care and in accordance with our advice.

19.1 We guarantee our new mattress purchases against manufacturing defects for a period of 10 years from the date of delivery. The Cosyelegance Metal Bed, except for the screws, has a guarantee period of 2 years from the delivery date. The Cosyelegance Wooden Bed, the Cosyelegance Divan Bed, the Cosyelegance White Bed, the Cosyelegance Platform Bed, the Cosyelegance Original Pillow, and Cosyelegance Premium Microfibre Pillow have a guarantee period of 2 years from the delivery date. The Cosyelegance Signature Bed, the Cosyelegance Signature Storage Bed, and the Under bed storage set have a guarantee period of 10 years from the delivery date. The Cosyelegance Mattress Protector, Cosyelegance Cloud Duvet, Cosyelegance Hug Weighted Blanket, and Cosyelegance Washed Linen are excluded from any guarantee period.

19.2 Our 10-year guarantee covers the following faults with your mattress:

19.2.a Malfunction of springs in our Hybrid mattress or, user spent too long without responding.

19.2.b Permanent sags or dips that occur in your mattress despite proper usage will be deemed faulty if the indentation is greater than 2.5cm and visible to the naked eye. Please note that normal softening of the mattress over time is not considered a manufacturing defect and will not be covered by the guarantee.

19.2.c Any cracks or hollows in the foam of your mattress must be reported within the first 6 months of receiving the mattress to be considered a manufacturing fault. After this period, we cannot determine if the damage was caused by production error or improper use, and the 10-year guarantee will not cover this type of damage.

19.2.d If your mattress does not inflate to the correct size after being removed from its vacuum packaging, it will be considered a manufacturing defect if it deviates more than 2cm in length, width, or depth. You will be entitled to an exchange if the mattress has had sufficient time to inflate (two weeks) and does not meet the specified dimensions.

19.2.e Damage to the mattress cover, such as a damaged zipper or faulty stitching due to manufacturing, will be addressed by providing a brand-new replacement cover. The mattress core, if undamaged, will not be exchanged. Please note that general wear and tear of the cover over time is not covered by the guarantee.

19.3 If your mattress develops any of the mentioned faults within the 10-year guarantee period, you must provide photographic evidence of the specific issue. Please contact our customer service department, who will guide you on how to demonstrate the fault through photographs. Without sufficient proof of meeting the criteria, we cannot offer an exchange for the affected mattress.

19.4 In the event of a proven defect, a replacement mattress will be shipped to you according to our current delivery time frames. The faulty mattress will be collected from you free of charge.

19.5 The replacement of a faulty mattress does not reset the guarantee period. The 10-year guarantee will continue to cover the replacement mattress for the remaining years from the original purchase date. For example, if a fault occurs after 5 years of use, the new mattress will be covered for the remaining 5 years of the 10-year guarantee.

19.6 If the mattress develops a fault within the guarantee period, an exchange will be provided, and a refund will not be possible. However, if this process is repeated three times and both replacement mattresses develop faults within the 10-year period, you will be eligible for a full refund of the purchase price upon collection of the mattress.

19.7 Refurbished mattresses purchased through Wowcher, GoGroopie, Amazon, and eBay come with a 14-day trial and a 6-month guarantee from the delivery date. The warranty terms for these mattresses align with those of a new mattress.

19.8 The Cosyelegance Essential mattress sold via Wowcher, GoGroopie, Amazon, and eBay includes a 14-day trial and a 5-year guarantee starting from the delivery date. The remaining warranty terms correspond to those of a new mattress.

19.9 Any mattress purchased from approved sellers (DFS, Carpetright, John Lewis, Amazon) is covered by our 10-year guarantee, subject to the same conditions mentioned above.

19.10 This guarantee is exclusively available to the original buyer of the mattress and is non-transferable. If you purchased the mattress from an unofficial source, we cannot assist with warranty concerns, and we recommend contacting the seller for further assistance. Our mattresses are officially sold through our website domain, DFS, Carpetright, John Lewis, and Wowcher.

19.11 To process the exchange accordingly, we require your order details for verification. Failure to provide relevant details or locate the order on our system will indicate that the purchase was made from an unverified third party, and we will not be responsible for exchanging the item.

19.12 The guarantee does not cover or extend to:

Normal wear and tear or damage resulting from misuse or abuse of the product.

Standard softening of the mattress foam due to regular use.

Comfort preferences, including firmness and heat retention levels, after the 100-night trial.

Damage caused by mold, odors, mildew, or discoloration resulting from improper care such as liquid spills, insufficient ventilation, or excessive humidity.

Mattresses that have been damaged or soiled due to improper use.

Faults or damages resulting from not unboxing the mattress within a reasonable time frame (up to six weeks after delivery).

Mattresses transported outside of the UK.

20. Conditions for Refer-a-Friend Program:

20.1 To be eligible for the Refer-A-Friend program, you must be an Cosyelegance customer with a customer account. You can find your unique code in your customer account and share it directly with your friends or through the provided options.

20.2 The voucher code is only valid for purchases made on www.Cosyelegance.co.uk.

20.3 The minimum spend for both the referrer and referred is £290. The voucher code can be used on the entire Cosyelegance range and cannot be combined with discounts exceeding 30 percent off.

20.4 You will receive a £20 cash reward if the referred friend keeps their Cosyelegance products beyond the trial period. Please ensure that your bank account details are updated in your customer account to receive the cash reward. If you encounter any issues, contact our customer support team at contact@cosyelegance.com. Certain restrictions may apply.

20.5 We reserve the right to invalidate the voucher if it is publicly shared on the internet or appears on any search engine. In such cases, the referrer will also lose the claim to the £20 cash reward.

20.6 The number of cash reward pay-outs is limited to eight.

20.7 The voucher code becomes invalid if the referrer’s order is canceled, and the claim to the £20 cash reward is lost. The claim to the cash reward is also lost if the order is returned.

20.8 The referrer and the referred cannot be the same person. Individuals residing in the same household or family members cannot refer each other.

23.2 The Cosyelegance Essential mattress and refurbished mattresses purchased via Wowcher are not eligible for this offer. The Cosyelegance Essential has a 14-day trial period, while the Cosyelegance Flip Topper has a 100-day trial period. The Cosyelegance Pillows and mattress toppers have a 30-day trial period.
